They are denominated in euros and calculated exclusive of tax. Consequently, they will be increased by the VAT rate and transport and travel costs applicable on the day the order is placed (unless otherwise stated in the offer).  <span style=\"font-size: 12.534px;\"> <\/span><\/p><p>MEANWHILE SAS reserves the right to modify its prices at any time, provided that the offer remains valid for at least 30 days (unless otherwise stated in the offer). However, it undertakes to invoice the goods ordered at the prices indicated when the order is registered. <span style=\"font-size: 12.534px;\"> <\/span><\/p><p>Once the order has been registered, no additional charges will be applied. Any additional element to the order will be the subject of a quotation and may or may not be accepted by the customer in order to create an amendment to the contract. <\/p>\t\t\t\t\t\t\t\t<\/div>\n\t\t\t\t<\/div>\n\t\t\t\t<div class=\"elementor-element elementor-element-9ccb8b6 elementor-widget elementor-widget-spacer\" data-id=\"9ccb8b6\" class=\"elementor-widget-container\">\n\t\t\t\t\t<h2 class=\"elementor-heading-title elementor-size-default\">Clause 3: Discounts and rebates  \n<\/h2>\t\t\t\t<\/div>\n\t\t\t\t<\/div>\n\t\t\t\t<div class=\"elementor-element elementor-element-971283c elementor-widget elementor-widget-text-editor\" data-id=\"971283c\" data-element_type=\"widget\" data-e-type=\"widget\" data-widget_type=\"text-editor.default\">\n\t\t\t\t<div class=\"elementor-widget-container\">\n\t\t\t\t\t\t\t\t\t<p>The prices quoted include any discounts and rebates that MEANWHILE SAS may grant on the basis of its results or the assumption by the Buyer of certain services.<\/p>\t\t\t\t\t\t\t\t<\/div>\n\t\t\t\t<\/div>\n\t\t\t\t<div class=\"elementor-element elementor-element-1c39ac7 elementor-widget elementor-widget-spacer\" data-id=\"1c39ac7\" data-element_type=\"widget\" data-e-type=\"widget\" data-widget_type=\"spacer.default\">\n\t\t\t\t<div class=\"elementor-widget-container\">\n\t\t\t\t\t\t\t<div class=\"elementor-spacer\">\n\t\t\t<div class=\"elementor-spacer-inner\"><\/div>\n\t\t<\/div>\n\t\t\t\t\t\t<\/div>\n\t\t\t\t<\/div>\n\t\t\t\t<div class=\"elementor-element elementor-element-4b1c2fe elementor-widget elementor-widget-heading\" data-id=\"4b1c2fe\" data-element_type=\"widget\" data-e-type=\"widget\" data-widget_type=\"heading.default\">\n\t\t\t\t<div class=\"elementor-widget-container\">\n\t\t\t\t\t<h2 class=\"elementor-heading-title elementor-size-default\">Clause 4: Discount  \n<\/h2>\t\t\t\t<\/div>\n\t\t\t\t<\/div>\n\t\t\t\t<div class=\"elementor-element elementor-element-e57420c elementor-widget elementor-widget-text-editor\" data-id=\"e57420c\" data-element_type=\"widget\" data-e-type=\"widget\" data-widget_type=\"text-editor.default\">\n\t\t\t\t<div class=\"elementor-widget-container\">\n\t\t\t\t\t\t\t\t\t<p>No discount will be granted for early payment.  <\/p>\t\t\t\t\t\t\t\t<\/div>\n\t\t\t\t<\/div>\n\t\t\t\t<div class=\"elementor-element elementor-element-3465ace elementor-widget elementor-widget-spacer\" data-id=\"3465ace\" data-element_type=\"widget\" data-e-type=\"widget\" data-widget_type=\"spacer.default\">\n\t\t\t\t<div class=\"elementor-widget-container\">\n\t\t\t\t\t\t\t<div class=\"elementor-spacer\">\n\t\t\t<div class=\"elementor-spacer-inner\"><\/div>\n\t\t<\/div>\n\t\t\t\t\t\t<\/div>\n\t\t\t\t<\/div>\n\t\t\t\t<div class=\"elementor-element elementor-element-d0df354 elementor-widget elementor-widget-heading\" data-id=\"d0df354\" data-element_type=\"widget\" data-e-type=\"widget\" data-widget_type=\"heading.default\">\n\t\t\t\t<div class=\"elementor-widget-container\">\n\t\t\t\t\t<h2 class=\"elementor-heading-title elementor-size-default\">Clause 5: Terms of payment  \n<\/h2>\t\t\t\t<\/div>\n\t\t\t\t<\/div>\n\t\t\t\t<div class=\"elementor-element elementor-element-32c127e elementor-widget elementor-widget-text-editor\" data-id=\"32c127e\" data-element_type=\"widget\" data-e-type=\"widget\" data-widget_type=\"text-editor.default\">\n\t\t\t\t<div class=\"elementor-widget-container\">\n\t\t\t\t\t\t\t\t\t<p>Payment for orders must be made :<\/p><ul><li>Or by cheque<\/li><li>Or by bank transfer<\/li><\/ul><p>On registration of the order, the Buyer must pay a deposit of 25% of the total invoice amount (unless otherwise stated in the offer), with the balance to be paid on receipt of the goods (unless otherwise stated in the offer).<\/p>\t\t\t\t\t\t\t\t<\/div>\n\t\t\t\t<\/div>\n\t\t\t\t<div class=\"elementor-element elementor-element-0c4f894 elementor-widget elementor-widget-spacer\" data-id=\"0c4f894\" data-element_type=\"widget\" data-e-type=\"widget\" data-widget_type=\"spacer.default\">\n\t\t\t\t<div class=\"elementor-widget-container\">\n\t\t\t\t\t\t\t<div class=\"elementor-spacer\">\n\t\t\t<div class=\"elementor-spacer-inner\"><\/div>\n\t\t<\/div>\n\t\t\t\t\t\t<\/div>\n\t\t\t\t<\/div>\n\t\t\t\t<div class=\"elementor-element elementor-element-420d316 elementor-widget elementor-widget-heading\" data-id=\"420d316\" data-element_type=\"widget\" data-e-type=\"widget\" data-widget_type=\"heading.default\">\n\t\t\t\t<div class=\"elementor-widget-container\">\n\t\t\t\t\t<h2 class=\"elementor-heading-title elementor-size-default\">Clause 6: Late payment  \n<\/h2>\t\t\t\t<\/div>\n\t\t\t\t<\/div>\n\t\t\t\t<div class=\"elementor-element elementor-element-23a5263 elementor-widget elementor-widget-text-editor\" data-id=\"23a5263\" data-element_type=\"widget\" data-e-type=\"widget\" data-widget_type=\"text-editor.default\">\n\t\t\t\t<div class=\"elementor-widget-container\">\n\t\t\t\t\t\t\t\t\t<p>In the event of total or partial non-payment for services or goods (whether integrated or not) delivered on the date of acceptance, the Buyer shall pay MEANWHILE SAS a late payment penalty equal to three times the legal interest rate.<span style=\"font-size: 12.534px;\"> <\/span><\/p><p>The legal interest rate is that in force on the day of delivery of the services or goods (whether integrated or not).<span style=\"font-size: 12.534px;\"> <\/span><\/p><p>As of January 1, 2015, the legal interest rate will be revised every 6 months (Ordinance n\u00b02014-947 of August 20, 2014).<span style=\"font-size: 12.534px;\"> <\/span><\/p><p>This penalty is calculated on the amount due, inclusive of tax, and runs from the due date of the price, without the need for prior formal notice. In addition to late payment penalties, any sum, including the deposit, not paid by the due date will automatically give rise to the payment of a fixed penalty of 500 euros due for collection costs. <span style=\"font-size: 12.534px;\"> <\/span><\/p><p>Articles 441-6, I paragraph 12 and D. 441-5 of the French Commercial Code.<\/p>\t\t\t\t\t\t\t\t<\/div>\n\t\t\t\t<\/div>\n\t\t\t\t<div class=\"elementor-element elementor-element-ec8d4e5 elementor-widget elementor-widget-spacer\" data-id=\"ec8d4e5\" data-element_type=\"widget\" data-e-type=\"widget\" data-widget_type=\"spacer.default\">\n\t\t\t\t<div class=\"elementor-widget-container\">\n\t\t\t\t\t\t\t<div class=\"elementor-spacer\">\n\t\t\t<div class=\"elementor-spacer-inner\"><\/div>\n\t\t<\/div>\n\t\t\t\t\t\t<\/div>\n\t\t\t\t<\/div>\n\t\t\t\t<div class=\"elementor-element elementor-element-c60781b elementor-widget elementor-widget-heading\" data-id=\"c60781b\" data-element_type=\"widget\" data-e-type=\"widget\" data-widget_type=\"heading.default\">\n\t\t\t\t<div class=\"elementor-widget-container\">\n\t\t\t\t\t<h2 class=\"elementor-heading-title elementor-size-default\">Clause 7: Resolutory clause  \n<\/h2>\t\t\t\t<\/div>\n\t\t\t\t<\/div>\n\t\t\t\t<div class=\"elementor-element elementor-element-6c85cac elementor-widget elementor-widget-text-editor\" data-id=\"6c85cac\" data-element_type=\"widget\" data-e-type=\"widget\" data-widget_type=\"text-editor.default\">\n\t\t\t\t<div class=\"elementor-widget-container\">\n\t\t\t\t\t\t\t\t\t<p>If the Buyer has not paid the outstanding sums due within fifteen days of the implementation of the &#8220;Late payment&#8221; clause, the sale will be automatically cancelled and the Buyer may be entitled to claim damages from MEANWHILE SAS.<\/p>\t\t\t\t\t\t\t\t<\/div>\n\t\t\t\t<\/div>\n\t\t\t\t<div class=\"elementor-element elementor-element-49af42b elementor-widget elementor-widget-spacer\" data-id=\"49af42b\" data-element_type=\"widget\" data-e-type=\"widget\" data-widget_type=\"spacer.default\">\n\t\t\t\t<div class=\"elementor-widget-container\">\n\t\t\t\t\t\t\t<div class=\"elementor-spacer\">\n\t\t\t<div class=\"elementor-spacer-inner\"><\/div>\n\t\t<\/div>\n\t\t\t\t\t\t<\/div>\n\t\t\t\t<\/div>\n\t\t\t\t<div class=\"elementor-element elementor-element-0cf7bd7 elementor-widget elementor-widget-heading\" data-id=\"0cf7bd7\" data-element_type=\"widget\" data-e-type=\"widget\" data-widget_type=\"heading.default\">\n\t\t\t\t<div class=\"elementor-widget-container\">\n\t\t\t\t\t<h2 class=\"elementor-heading-title elementor-size-default\">Clause 8: Retention of title clause  \n<\/h2>\t\t\t\t<\/div>\n\t\t\t\t<\/div>\n\t\t\t\t<div class=\"elementor-element elementor-element-e5a60ca elementor-widget elementor-widget-text-editor\" data-id=\"e5a60ca\" data-element_type=\"widget\" data-e-type=\"widget\" data-widget_type=\"text-editor.default\">\n\t\t\t\t<div class=\"elementor-widget-container\">\n\t\t\t\t\t\t\t\t\t<p>MEANWHILE SAS retains ownership of the goods sold until validation of the production approval report. MEANWHILE SAS reserves the right to claim unpaid goods sold in the event of the Buyer&#8217;s receivership or liquidation. <span style=\"font-size: 12.534px;\"> <\/span><\/p><p>Notwithstanding the application of this clause, the transfer of risk takes place upon delivery (see Clause n\u00b09).<\/p>\t\t\t\t\t\t\t\t<\/div>\n\t\t\t\t<\/div>\n\t\t\t\t<div class=\"elementor-element elementor-element-bebca25 elementor-widget elementor-widget-spacer\" data-id=\"bebca25\" data-element_type=\"widget\" data-e-type=\"widget\" data-widget_type=\"spacer.default\">\n\t\t\t\t<div class=\"elementor-widget-container\">\n\t\t\t\t\t\t\t<div class=\"elementor-spacer\">\n\t\t\t<div class=\"elementor-spacer-inner\"><\/div>\n\t\t<\/div>\n\t\t\t\t\t\t<\/div>\n\t\t\t\t<\/div>\n\t\t\t\t<div class=\"elementor-element elementor-element-789eae7 elementor-widget elementor-widget-heading\" data-id=\"789eae7\" data-element_type=\"widget\" data-e-type=\"widget\" data-widget_type=\"heading.default\">\n\t\t\t\t<div class=\"elementor-widget-container\">\n\t\t\t\t\t<h2 class=\"elementor-heading-title elementor-size-default\">Clause 9: Delivery  \n\n<\/h2>\t\t\t\t<\/div>\n\t\t\t\t<\/div>\n\t\t\t\t<div class=\"elementor-element elementor-element-4fce0e2 elementor-widget elementor-widget-text-editor\" data-id=\"4fce0e2\" data-element_type=\"widget\" data-e-type=\"widget\" data-widget_type=\"text-editor.default\">\n\t\t\t\t<div class=\"elementor-widget-container\">\n\t\t\t\t\t\t\t\t\t<p>Products purchased by the Buyer are delivered to the address indicated on the MEANWHILE SAS offer or quotation. Deliveries will be made in accordance with INCOTERM 2020 : DDP. The moment of transfer of risk from MEANWHILE SAS to the Buyer is defined by the designated INCOTERM.  <span style=\"font-size: 12.534px;\"> <\/span><\/p><p>The delivery time indicated when the order is placed is given as an indication only and is in no way guaranteed.<span style=\"font-size: 12.534px;\"> <\/span><\/p><p>Consequently, any reasonable delay &#8211; of a maximum of 30 days &#8211; in the delivery of products shall not give rise to :<\/p><ul><li>Awarding damages;<\/li><li>Order cancellation.<\/li><\/ul><p>In the event of missing or damaged goods in transit, the Buyer must make all necessary reservations on the order form upon receipt of said goods.
